<p><strong>POSITION SUMMARY:</strong></p> <p>The <strong>Corporate Counsel, R&D and Healthcare Transactions</strong> is an individual contributor attorney who performs general legal review, analysis, and advice on a variety of matters in a busy, high-performing legal department supporting a cutting-edge molecular diagnostics company. This is a mid-level transactional attorney position, although Company encourages employees to take on additional assignments and projects that interest them and they are capable of. Requires a nimble lawyer who can focus on key risks and provide clear, focused, actionable advice. </p> <p> </p> <p><strong>PRIMARY RESPONSIBILITIES:</strong></p> <ul> <li>Independently draft, review, and negotiate a wide range of contracts needed for the effective functioning of the Company, including clinical study agreements, material transfer agreements, vendor agreements, license agreements, distributorship agreements, services agreements, consulting agreements, payor network agreements, NDAs, etc.</li> <li>Perform legal review and approval of other company documents, such as clinical study consent forms and marketing materials, as needed.</li> <li>Support senior level attorneys in providing general legal advice and strategy to internal clients on legal and compliance matters related to Company’s business, particularly, its international operations and GDPR compliance.</li> <li>Appropriately manage a heavy workflow, setting priorities with internal clients and meeting deliverable timelines.</li> <li>Provide ongoing assistance with training, monitoring and improving of compliance with the Legal Department’s policies and procedures.</li> <li>Liaise with internal clients and respond to inquiries regarding contracts and other matters, as assigned.</li> <li>Learn and contribute to the ongoing development of the Legal Department “playbook” for contract negotiations.</li> <li>This role works with PHI on a regular basis both in paper and electronic form and has an access to various technologies to access PHI (paper and electronic) in order to perform the job.</li> <li>Employee must complete training relating to HIPAA/PHI privacy, General Policies and Procedure Compliance training and security training as soon as possible but not later than the first 30 days of hire.</li> <li>Must maintain a current status on Natera training requirements.</li> </ul> <p> </p> <p>​<strong>QUALIFICATIONS:</strong></p> <ul> <li>JD degree from top-tier law school.</li> <li>5+ years of experience as an attorney in commercial contracts and general corporate practice, including 3+ years of experience in a major law firm, in-house experience a big plus.</li> </ul> <ul> <li>Experience in advising clients in biotech, life science and/or health care industries.</li> <li>Member of California Bar or eligible to register as Registered In-House Counsel.</li> <li>Experience in reviewing, drafting, negotiating and finalizing commercial contracts, including complex arrangements independently with little or no supervision</li> <li>Demonstrated experience in one or more of the following areas is highly desirable: <ul> <li>Healthcare transactions</li> <li>Clinical study agreements</li> <li>GDPR</li> <li>Payor agreements</li> <li>Cross-border commercial transactions and distributorship agreements</li> </ul> </li> </ul> <p> </p> <p><strong>KNOWLEDGE, SKILLS, AND ABILITIES:</strong></p> <ul> <li>Strong analytical, communication and written skills.</li> <li>Strong interpersonal skills and business acumen.</li> <li>Ability to multi-task.</li> <li>Nimbleness; ability to thrive in a fast-paced, dynamic environment.</li> <li>High levels of initiative, confidence and ability to appropriately influence others.</li> <li>Demonstrated high ethical behavior.</li> <li>Strong technology skills and proficiency with Microsoft Office, including Word, PowerPoint and Excel.</li> </ul><div class="content-pay-transparency"><div class="pay-input"><div class="description">The pay range is listed and actual compensation packages are based on a wide array of factors unique to each candidate, including but not limited to skill set, years & depth of experience, certifications and specific office location.
